Vercom has a conditional azquasition agreement ofr MailerLite companies , an agreement with R22 for Oxylion

Vercom has concluded a conditional purchase agreement from Itema Ventures, UAB and Gediminas Andrijaitis - after the fulfillment of the conditions precedent - 65% of MailerLite shares and 100% of shares in selected subsidiaries belonging to the MailerLite group (in particular a company registered in the USA and Ireland), Vercom reported by revealing delayed confidential information. In addition, Itema undertook to contribute 35% of the shares in the share capital of MailerLite as a contribution in kind to cover the shares in the share capital of Vercom, which it will take up in the increased share capital of this company. The total value of the transaction was set at EUR 84.13 million, it was also announced.

These are, in particular, the companies: (i) MailerCheck, Inc. based in Delaware (USA), (ii) MailerSend, Inc. based in Delaware (USA), (iii) MailerLite Limited based in Dublin (Ireland), (iv) MailerLite, Inc. based in Delaware (USA).

The main markets of MailerLite's operations are the United States and Western Europe, which together account for over 70% of the company's revenues. MailerLite has over 38,000 business customers in 180 markets and employs approximately 100 employees in 30 locations in various time zones. In the last three years, the average annual increase in MailerLite's revenues was 43%, ”the release reads.

Vercom creates global communication platforms in the cloud (Communication Platform-as-a-Service - CPaaS), which enable companies to reach customers through a centralized platform - using many complementary communication channels (SMS, email, push, OTT messaging). Currently, the services of the Vercom Group are used by such entities as Allegro, OLX.pl, Answear.com, Rossmann, Żabka, mBank, IKEA. The company made its debut on the WSE main market in May 2021.
