AmRest, a leading publicly listed restaurant operator in
Europe, announces signing on 26th July 2018 the Share and Purchase Agreement (“SPA”) with TELE PIZZA, S.A.U. aimed at an acquisition of the Telepizza chain in Poland. As a result of the transaction, AmRest will take over 36 equity restaurants and additionally operate the network of 71 franchised units.
According to the SPA, AmRest will purchase 100% shares of TELEPIZZA POLAND Sp. z o.o, an operator of Telepizza business in Poland. As a result, AmRest’s portfolio of both equity and franchised restaurants will expand by 107 stores. The anticipated value of the transaction is estimated at EUR 8m (on a cash-free, debt-free basis) and will be confirmed at the closing date. The finalization of the transaction is expected in the coming months, upon obtaining respective approvals from antitrust authorities.

The agreement will contribute to strengthening AmRest’s position as an operator in both pizza and delivery segments in Europe. Currently, with the master-franchise rights for Pizza Hut brand, the Company is well-positioned to grow the Pizza Hut business through both equity and franchise models across France, Germany, Russia and Central Europe.
